Terms of Service
These Terms of Service govern your use of the VidWise Chrome extension, website and VidWise Cloud services.
1. Who we are and acceptance of these Terms
VidWise ("VidWise", "we", "us" or "our") is operated by Tomala-Tech KAJETAN TOMALA, a sole proprietorship registered in Poland (CEIDG), with its registered or correspondence address at Wacława Olszaka 5, 43-400 Cieszyn, Poland, tax identification number (NIP) 5482778343. Contact: support@vid-wise.com.
These Terms form a binding agreement between you and us regarding your use of the VidWise Chrome extension, the VidWise website and VidWise Cloud services (together, the "Service").
By installing the extension, creating an account or using the Service, you agree to these Terms. If you purchase a paid plan, the price, billing period, taxes, seller or merchant-of-record identity and automatic-renewal information shown at checkout and on your receipt also form part of the transaction. If you do not accept these Terms, do not use the Service.
2. What VidWise is
VidWise helps you filter, organize and study content you choose to watch on YouTube. Features may include topic-based feed filtering, focus tools, AI-generated summaries and notes, questions and answers, quizzes, exercises, comparisons, reports, course tools and a personal Library.
VidWise is an independent product. It is not affiliated with, endorsed by or sponsored by YouTube, Google LLC or any content creator whose material you view.
VidWise does not host, distribute, download or resell YouTube video or audio content. The extension obtains available information and caption text in your browser when required for a feature you choose to use.
3. Eligibility
You must be at least 16 years old and have the legal capacity to enter into a binding agreement to create a VidWise account or use VidWise Cloud. By using the Service, you confirm that you meet these requirements.
We may suspend or terminate an account we reasonably believe is being used by a person who does not meet these requirements.
4. Your account
You may create an account using one of the sign-in methods currently offered by VidWise, which may include Google Sign-In or email-based registration. You must provide accurate information and are responsible for maintaining the security of your sign-in method and for activity under your account.
Accounts and credits are personal. You may not sell, transfer, lend or share them in a way that bypasses plan limits. Notify us at support@vid-wise.com if you believe your account has been accessed without authorization.
5. Plans, trials, credits and pricing
The Service may include a free tier, a time-limited trial and paid subscription plans. Current base prices, billing periods, included credits and feature limits are displayed on the pricing page and again at checkout. Stripe calculates applicable indirect tax and displays the final total and currency before purchase. Checkout and receipt information controls if it conflicts with a general description elsewhere on the Service.
AI-powered actions consume credits. The applicable credit cost is displayed in the product before an action is performed. Credits are usage units only, have no cash value and cannot be transferred or redeemed for money.
Plan or trial credits may expire at the end of the applicable billing or trial period and do not roll over unless the pricing or checkout information expressly states otherwise. If an AI generation fails for a technical reason on our side, the credits charged for that failed request are returned to your balance.
When referrals are available, a valid new user who registers with your link may receive a one-time credit bonus. You receive the referral reward only after that user completes the qualifying successful AI usage shown in the referral screen. The screen displays the current reward, qualifying usage and monthly reward limit; these may vary by plan and can change for future referrals. A referral to your own account or a duplicate account does not qualify.
We may change prices for future purchases. For an existing subscription, we will provide at least 30 days' notice before a price change applies to a renewal. You may cancel before the new price takes effect.
6. Payments, renewal and cancellation
Tomala-Tech KAJETAN TOMALA supplies and operates the VidWise Service. For a new subscription expressly identified as Stripe Managed Payments at checkout, the Stripe entity named at checkout and on the receipt acts as merchant of record for the sale. It processes the payment and is responsible within the Managed Payments scope for indirect-tax calculation, collection and remittance, transaction fraud controls, payment disputes, payment refunds, receipts or tax invoices, and transaction-level support. Its applicable transaction terms and privacy notice also apply.
Existing subscriptions created before Managed Payments, and any transaction identified otherwise at checkout, may remain sold by Tomala-Tech with Stripe acting as payment processor. The checkout and receipt identify the seller for the specific transaction. VidWise never receives or stores complete payment card numbers.
Subscriptions renew automatically at the end of each billing period at the price disclosed for the renewal unless cancelled. You may cancel through the available Stripe customer portal or account billing controls. Cancellation stops future renewals and normally takes effect at the end of the paid billing period.
For questions about VidWise features or account access, contact support@vid-wise.com. For payment, tax, receipt, refund-status or transaction-dispute support on a Managed Payments purchase, use the Stripe contact route shown at checkout or on the receipt. If a payment fails or is reversed, we may temporarily restrict the corresponding paid benefits while the authoritative payment status is resolved. A full refund removes unused credits from the refunded billing period but does not claw back credits already used. This does not limit your statutory rights.
7. Refunds and consumer withdrawal rights
In addition to any rights required by law and subject to the merchant-of-record transaction terms, VidWise offers a voluntary refund for your first paid subscription purchase if you request it within 14 days of that purchase and have used less than 20% of the credits granted for that billing period. Renewals, subsequent purchases and credit top-ups are otherwise non-refundable unless required by applicable law or the applicable merchant-of-record terms.
This voluntary policy does not restrict any mandatory consumer right, including any applicable right of withdrawal, conformity, repair, refund, price reduction, termination or other remedy. For eligible EU consumers, withdrawal instructions and the model form are available on the public Withdrawal page.
Where required before supplying a digital service during a statutory withdrawal period, we request your express instruction to begin performance immediately. If you withdraw after performance has begun, you may be required to pay a proportionate amount for the service supplied before withdrawal. For an ongoing digital service, your withdrawal right is not treated as lost merely because access started; any loss applies only after full performance and only where all conditions required by law are met.
You may send a product-related refund request to support@vid-wise.com. For Managed Payments transactions, Stripe administers the payment refund and transaction support under the terms identified at checkout and on the receipt. Approved refunds are returned using the method determined by the merchant of record and applicable law.
8. AI-generated content
Several VidWise features use third-party artificial intelligence systems. AI output is generated automatically and may be inaccurate, incomplete, outdated or inconsistent with the original video. Captions may also contain errors, especially for names, technical terms and non-English speech. We do not verify every output before displaying it.
For Compare, you can choose whether to include available caption text or currently visible YouTube viewer comments. When you select either option and the text is available, it is submitted with the comparison to VidWise Cloud and its AI provider. Do not include comments or other third-party material that you are not entitled to use.
VidWise output is a study aid and is not medical, legal, financial, academic, safety or other professional advice. You are responsible for checking important information against the original source and other reliable sources.
Do not submit passwords, payment card information, confidential material, highly sensitive personal data or legally protected information to an AI feature unless you have the right to provide it and understand the associated risks.
Subject to the rights of underlying content owners and applicable law, we do not claim ownership of AI output generated for you. You are responsible for how you use it, including compliance with copyright and academic-integrity rules.
9. Acceptable use
You must use the Service lawfully and only for its intended purpose. You may not:
- infringe intellectual property, privacy or other rights;
- bypass or interfere with credit limits, rate limits, access controls or payment mechanisms;
- automate, script, scrape or bulk-access the Service or its API outside the extension's normal operation;
- probe or test our systems without written authorization, introduce malicious code or attempt to access accounts or data that are not yours;
- resell, sublicense or commercially redistribute the Service or its output as a competing product;
- submit unlawful or abusive material, or another person's personal data without a lawful basis;
- misrepresent your identity, eligibility or entitlement to a plan; or
- abuse trials, promotions or referrals, including by creating duplicate or deceptive accounts.
10. Third-party services and content
The Service operates alongside YouTube and depends on third-party providers for authentication, hosting, AI processing, email and payments. Relevant providers and data processing are described in our Privacy Policy.
We do not control YouTube. Changes to its interface, policies, caption availability or services may degrade or break VidWise features without notice. Your use of YouTube remains governed by YouTube's terms, and these Terms do not grant you rights to third-party videos, captions, channel information or other content.
11. Availability and changes to the Service
We aim to keep VidWise available and secure, but do not guarantee uninterrupted or error-free operation. We may maintain, update, limit, suspend or discontinue features where reasonably necessary.
If we discontinue the entire Service or remove a material paid benefit during a current paid period, we will provide reasonable notice where practicable and any refund or remedy required by applicable law. We may also provide a proportionate voluntary refund where appropriate.
12. Intellectual property and your content
The VidWise name, logo, extension, website, design, code and documentation are owned by us or our licensors and are protected by applicable law. We grant you a limited, personal, non-exclusive, non-transferable and revocable license to use the Service for its intended purpose.
You retain your rights in notes, learning goals and other original material you create and store in VidWise. You grant us only the limited license needed to host, process, transmit and display that material to operate the features you request.
Third-party videos, thumbnails, channel information, captions and related content remain subject to the rights of their respective owners.
13. Privacy and account deletion
Our Privacy Policy explains what personal data we process, the purposes and legal bases for processing, service providers, retention and your rights. It forms part of these Terms.
You may request account deletion through available VidWise controls. Deletion is completed after the required identity and confirmation steps. Some information may be retained where required by tax, accounting or other law, or where reasonably necessary for security, fraud prevention, dispute resolution or legal claims, as described in the Privacy Policy.

14. Suspension and termination
You may stop using the Service at any time and may cancel a subscription or request account deletion through the available controls.
We may proportionately restrict, suspend or terminate access if you materially breach these Terms, if required by law, to protect users or the Service, or if continuing to provide access would create material security or legal risk. Unless the issue is serious or notice would be unlawful or impracticable, we will provide notice and a reasonable opportunity to remedy it.
Termination ends your license to use the Service but does not affect provisions that by their nature should survive, including provisions concerning ownership, AI output, liability, disputes and accrued payment obligations.
15. Disclaimers
To the extent permitted by applicable law, the Service is provided "as is" and "as available". We do not warrant uninterrupted operation, compatibility with every YouTube change, the accuracy of AI output or captions, or that every defect will be corrected.
Nothing in these Terms excludes statutory warranties, consumer remedies or liability that cannot lawfully be excluded, including liability for fraud, willful misconduct, or death or personal injury caused by negligence where applicable.
16. Limitation of liability
This Section applies only to the extent permitted by applicable law and does not limit liability or remedies that cannot lawfully be limited in contracts with consumers.
To that extent, we are not liable for indirect, incidental, special or consequential loss, loss of profits or business opportunity, decisions made in reliance on AI output, or loss caused by the unavailability or modification of YouTube or another third-party service.
To the extent a monetary cap is legally permitted, our aggregate liability arising from the Service will not exceed the greater of the amount you paid for VidWise during the 12 months before the event giving rise to the claim or USD 100.
17. Governing law and disputes
These Terms governing access to and use of the VidWise Service are governed by the laws of Poland, without regard to conflict-of-law rules. A Managed Payments purchase is also subject to the transaction terms of the Stripe merchant-of-record entity identified at checkout and on the receipt.
If you are a consumer, this choice does not deprive you of mandatory protections under the law of the country where you habitually reside or any right to bring proceedings in a court available to you under applicable law. Otherwise, disputes will be subject to the courts competent for the operator's registered seat in Poland.

18. Changes and general provisions
We may update these Terms when the Service, law or our business practices change. If a change materially affects your rights or obligations, we will provide at least 30 days' advance notice by email or through the Service where reasonably practicable. If applicable law requires affirmative consent, we will request it before the change applies to you.
If you do not accept a change, you may stop using the Service and cancel your subscription before it takes effect. The effective date at the top identifies the current version.
These Terms, together with the Privacy Policy and applicable checkout information, constitute the agreement governing the Service. If one provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, reorganization or sale of the relevant business, subject to applicable notice requirements.
We are not responsible for delay or failure caused by events beyond our reasonable control, except where applicable law provides otherwise. These Terms are written in English; translations may be provided for convenience, but this language clause does not limit mandatory consumer rights.
